In close collaboration with the Client we provide experienced and professional management of a transaction right through to Completion, including:
Identifying and sourcing acquisitions or investors
Pre-transaction analysis of market, providing a review of the competitive environment
Analysing and defining benchmark project and asset values
Managing the multidisciplinary due diligence process including where required selection & management of external specialist advisers
Identification, reporting and proposed mitigation of key risks throughout the due diligence and transaction process
Managing the production and negotiation of transaction documents, including initial heads of terms, shareholders’ agreements, joint venture agreements, co-development agreements, share purchase agreements and services agreements
Offering continuity in support post Financial Close to ensure the transaction delivers expected results including post-transaction monitoring & management of conditions subsequent, post close earn-outs and delivery of performance
The Venturi team has worked extensively across borders originating investment targets and selection of joint venture partners. We can support clients on renewables business development in new markets, performing early assessment of acquisition or joint venture opportunities as entry points into those markets.
